Terms of Service

Template notice: This document is a starting draft and does not constitute legal advice. Have it reviewed by a qualified solicitor before relying on it, particularly given NexIntent's regulated-sector customers.
These Terms of Service ("Terms") govern your access to and use of the NexIntent platform provided by NexIntent RegTech Ltd ("NexIntent", "we", "us"). By creating an account or using the service, you agree to these Terms on behalf of yourself and the organisation you represent.
The service
NexIntent provides software to help regulated firms plan, run, and document FCA compliance audits. The service is a tool to support your compliance work — it does not constitute legal, regulatory, or professional advice, and does not guarantee any regulatory outcome.
No regulatory guarantee
Compliance obligations are ultimately your responsibility. Audit templates, regulatory summaries, and AI-generated guidance are provided to assist you and may not reflect the latest regulatory position. You are responsible for verifying your obligations with qualified advisers and the FCA Handbook. NexIntent is not liable for regulatory decisions made in reliance on the service.
Accounts and eligibility
- You must provide accurate information and use a valid work email to create a workspace.
- The first user of a workspace becomes its owner and is responsible for managing members.
- You are responsible for keeping your credentials secure and for activity under your account.
- You must have authority to bind your organisation to these Terms.
Acceptable use
You agree not to misuse the service, including by attempting to breach security, access other tenants' data, reverse-engineer the platform, or use it for unlawful purposes.
Subscriptions and billing
Paid plans are billed in advance through our payment processor on the cycle shown at checkout. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes do not affect the current paid period.
Your data
You retain ownership of the content you enter. You grant us the limited rights needed to host and process it to provide the service. Our handling of personal data is described in our Privacy Policy.
Availability
We work to keep the service available but do not guarantee uninterrupted access. We may suspend access for maintenance, security, or non-payment, or where required to protect the platform or other customers.
Limitation of liability
To the fullest extent permitted by law, NexIntent is not liable for indirect or consequential loss, loss of profits, or regulatory penalties arising from use of the service. Nothing in these Terms excludes liability that cannot be excluded under law.
Termination
You may stop using the service and delete your account at any time. We may suspend or terminate access for breach of these Terms. On termination, your data is handled as described in our Privacy Policy.
Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
